Use the database conversion feature from the Model menu | Database conversion. Refer to the Help file | Features topic | Model conversion to obtain more information.
NOTE: Toad Data Modeler will help you to convert used data types "only". Possibly, you will have to make some manual changes (check out the text objects - triggers, views, stored procedures, functions etc. Press CTRL+T or click Model-|Text objects.)
