Resolution
You may want to stop the Diagnostic Server service. You can restart it once the upgrade is complete.

Additional Information
As a precaution. make sure to back up the Playback and Spotlight Statistic Repository databases as well as backing up the C:\Program Files\Quest Software\Diagnostic Server\Agent directory.
