Go to View Menu | Toad Options | Editor | Open/Save | and check (ON) or un-check (OFF) "Format files when opened" option.
If your issue is that sometimes it formats and sometimes it does not when opening a file, make sure the comment that says it was formatted, at the top of the code, is for the current time. It may be that the option is turned off and the formatted comment you see is from when it was formatted before and is included in the file you are opening.
